This class will be offered only to students who are enrolled in (or have previously taken) the 743 Securities Regulation class. We will focus on topics that commonly arise in a corporate securities law practice, with an emphasis on entry-level issues encountered by junior associates in a law firm and in-house practitioners on a day to day basis. Topics will include, among others: research and writing in a corporate setting; MD&A subtleties; Reg. FD issues; forward-looking statement protections; drafting the 10-K and 10-Q; proxy statement preparation; and responding to an SEC inquiry or investigation. The class will be centered on analysis of, and suggested approaches to, real world situations and may include in-class exercises and several homework assignments.
