This class introduces students to the process of drafting and negotiating key entertainment contracts. We will work on a range of standard agreements, including licenses, services agreements, and a distribution agreement, among others. To provide doctrinal context, we will review key concepts from copyright law, the First Amendment, trademark law, and a handful of other fields. To provide practical context, we will consider commercial dimensions, including funding. The class will not only introduce you to entertainment transactions, but reveal a deeper mystery, too — while everyone knows what litigators do, what exactly do transactional lawyers do in their roles as in-house and outside counsel?
