Corporate governance deals with the allocation of rights and responsibilities among corporate participants. This seminar will explore the most current issues in an ever-changing corporate governance landscape, ranging from the foundational inquiries (e.g., corporate purpose and stakeholderism) to the concerns surrounding specific trends (e.g., ESG movement, strategic spin-offs, CEO risk, interlocking directors, meme stock, and asset managers’ activism). On each topic, using real-world examples, we will examine (1) the factual backgrounds, (2) how laws and regulations responded, and (3) what improvements, if any, are necessary. Students will submit a brief reaction paper for assigned readings for each session. Prerequisite: #657 Enterprise Organization or #723 Corporate Lawyer: Law and Ethics
