This course integrates theory, law, and practice for corporate compliance. The first part of the course will cover the fundamentals of corporate compliance, focusing on the role of various actors, including corporate directors, compliance professionals, regulators, prosecutors, whistleblowers, and attorneys. In the second part of the course, we will apply the knowledge gained in the first part to real-world corporate scandals to discuss (1) what went wrong, (2) whether there were any public/private enforcement deficiencies, and (3) what the law can do to prevent similar compliance failures in the future.
