This course explores the legal and business aspects of corporate mergers and acquisitions, with consideration of corporate takeovers more generally (including proxy fights). The course emphasizes the practical “nuts-and-bolts” of these transactions with respect to both public companies and private companies, as well as from the perspectives of both buyers and sellers. The ultimate objective is to prepare students for deal work by unpacking the jargon and educating them on fundamental transactional inputs, the deal process itself, and the common points of friction and negotiation between the parties.
